Our take: Bose has long been the reference for active noise cancellation, and the 2nd gen isn't about being "quieter" so much as fixing the previous model's nitpicks. USB-C lossless lets wired listening carry a higher-quality signal, which matters to audio-focused users; Cinema Mode spatializes "watching on headphones," a practical answer to how many people now binge shows over headphones; and BT5.4 with aptX Adaptive makes the wireless experience steadier. The trade-off: at US$449 it's premium-priced, and Bose's signature has always been ANC and comfort — pure-music resolution and soundstage may not lead some Hi-Fi-leaning rivals. For first-gen owners, the upgrade is more "completion" than revolution. In short: it's ideal if you prize commute/flight noise cancellation, often watch video on headphones, and will pay for lossless wired audio; satisfied first-gen owners don't need to rush.
